End User License Agreement (EULA)

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User") and Arqenne LLC, a California limited liability company ("Arqenne," "Licensor," "we," "our," or "us"), for the use of the Arqenne Studio desktop application and any associated updates, documentation, and bundled components (collectively, the "Software").

By downloading, installing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

2. License Grant

2.1 Scope

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, solely for your personal or commercial creative work, subject to the terms of this EULA and your applicable subscription tier.

2.2 Permitted Use

Install the Software on multiple devices you own or control
Use the Software to create, edit, and export written and audio content
Use AI-powered features (text generation, text-to-speech, image generation) within the limits of your subscription tier
Retain full ownership of all content you create using the Software (see Section 5)

2.3 Subscription Tiers

Access to certain features is gated by subscription tier (Free, Starter, Creator, Studio). The Free tier provides local editor functionality. Paid tiers unlock additional features including audio export, cloud AI, and additional local AI capabilities. Current tier details and pricing are available at https://arqenne.com/pricing. We reserve the right to modify tier features and pricing with reasonable notice.

3. Restrictions

You may NOT:

Reverse engineer, decompile, or disassemble the Software or any of its components, except to the extent expressly permitted by applicable law
Redistribute, sublicense, rent, lease, or lend the Software or any portion thereof to any third party
Extract, copy, or redistribute bundled AI models included with or downloaded by the Software, including but not limited to text-to-speech models, language models, image generation models, and embedding models (collectively, "Bundled Models"). Bundled Models are licensed to you solely for use within the Software
Circumvent or disable any license verification, subscription enforcement, feature gating, or digital rights management mechanisms in the Software
Use the Software to develop a competing product or service that replicates the core functionality of Arqenne Studio
Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
Use the Software for any unlawful purpose or in violation of any applicable laws or regulations
Attempt to access or interfere with server infrastructure, APIs, or backend services beyond the interfaces provided by the Software

4. Bundled Models and Third-Party Components

4.1 Bundled AI Models

The Software downloads and uses AI models that run locally on your device. These models are licensed under open-source licenses (Apache 2.0 or MIT) from their respective creators. Your right to use these models is limited to use within the Software. Redistribution of Bundled Models outside of the Software is governed by their respective upstream licenses, not this EULA.

4.2 Third-Party Open-Source Software

The Software incorporates open-source components. A list of these components and their respective licenses is available within the Software under Settings > Licenses, or upon request.

4.3 Third-Party Services

Certain features of the Software rely on third-party services (e.g., cloud AI providers, payment processors). Your use of these features is additionally subject to the respective third-party terms of service, which we are not responsible for.

5. Intellectual Property

5.1 Your Content

You own everything you create. All text, audio, images, and other content you produce using the Software ("User Content") is your sole property. We claim no ownership, license, or rights to User Content. This includes content generated with the assistance of AI features.

5.2 Our Software

The Software, including its design, code, architecture, user interface, and branding (but excluding User Content and Bundled Models governed by their upstream licenses), is the intellectual property of Arqenne LLC and is protected by copyright and other intellectual property laws.

5.3 Feedback

If you provide suggestions, feature requests, or other feedback about the Software ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Software without obligation to you.

6. Data and Privacy

6.1 Local-First Architecture

The Software is designed with a local-first architecture. Your projects, manuscripts, generated audio, and generated images are stored on your device by default and are not uploaded to our servers unless you explicitly opt into cloud sync features.

6.2 Local AI Processing

AI models that run on your device process your content locally. When using local AI features (local text generation, local text-to-speech, local image generation), your content does not leave your device.

6.3 Cloud Features

When you use cloud-powered features (cloud AI chat, cloud text-to-speech), your content is transmitted to our servers and/or third-party AI providers for processing. See our Privacy Policy at https://arqenne.com/privacy for details.

7. Updates and Modifications

7.1 Software Updates

We may release updates to the Software from time to time. Updates may include bug fixes, new features, security patches, or model updates. The Software includes an auto-update mechanism; you may disable auto-updates in Settings.

7.2 Model Updates

Bundled AI Models may be updated or replaced with improved versions. We will endeavor to maintain or improve output quality but do not guarantee that model updates will produce identical results to prior versions.

7.3 Changes to This EULA

We may update this EULA from time to time. We will notify you of material changes through in-app notification and by updating the "Last Updated" date. Your continued use of the Software after such changes constitutes acceptance of the updated EULA.

8. Termination

8.1 By You

You may terminate this EULA at any time by uninstalling the Software and, if applicable, canceling your subscription.

8.2 By Us

We may terminate or suspend your license if you breach any term of this EULA. Upon termination, you must cease all use of the Software and delete all copies.

8.3 Survival

Your ownership of User Content survives termination. Sections 3, 5, 9, 10, and 11 survive termination.

8.4 Effect on Your Content

Upon termination, your locally stored content remains on your device and is accessible to you. We do not have the ability to delete content stored locally on your device. Cloud-synced content will be subject to our data retention policy as described in our Privacy Policy.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING:

We do not warrant that AI-generated content will be accurate, complete, original, or suitable for any particular purpose
We do not warrant that text-to-speech output will be free of artifacts, mispronunciations, or other imperfections
We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components
We do not warrant that local AI models will perform identically across different hardware configurations

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARQENNE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Governing Law and Dispute Resolution

11.1 Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

11.2 Dispute Resolution

Any dispute arising out of or relating to this EULA shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Sacramento County, California. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limit.

Class Action Waiver: YOU AND ARQENNE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

12. General Provisions

12.1 Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Arqenne LLC regarding the Software.

12.2 Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer this EULA or your rights hereunder without our prior written consent. We may assign this EULA without restriction.
